JOB DESCRIPTION
Role Overview: M&A Sourcing and Execution Manager
The candidate will be responsible for managing M&A transaction sourcing activities, including developing proprietary relationships with founders, private equity firms, investment banking firms, and other channels. This role involves overseeing the entire deal pipeline for UL Solutions, with a particular focus on the EU and Asia regions.
Key Responsibilities:

  • Transaction Sourcing: Develop and maintain relationships with key stakeholders to identify potential M&A opportunities.
  • Pipeline Management: Manage the full deal pipeline across the enterprise, ensuring a steady flow of viable transactions.
  • M&A Execution: Participate in various aspects of M&A execution, including valuation, due diligence, analysis, deal structuring, and presentation of execution strategies.
  • Collaboration: Work closely with UL senior leadership, including Customer Operating Unit, Segment, and Corporate Function leaders, to align M&A activities with strategic goals.


RESPONSIBILITIES

  • Acquisition Target Identification: Collaborate with business leaders to identify acquisition targets through comprehensive analysis of customers, products, markets, geographies, issues, and competitors, ensuring alignment with corporate strategic objectives.
  • Deal Sourcing Pipeline Management: Oversee the deal sourcing pipeline for UL Solutions at the corporate level across the TIC and S&A businesses.
  • Outreach Strategy Development: Create effective outreach strategies for targets of various sizes, leveraging both internal and external relationships.
  • Relationship Building: Conduct outreach and develop relationships with selected targets, positioning UL Solutions as a preferred acquirer through strategic business leadership.
  • KPI Delivery: Achieve key performance indicators (KPIs) set for acquisition sourcing.
  • Due Diligence Management: Assist in managing the due diligence process for select transactions, coordinating activities across multiple workstreams and integrating findings from Legal, Finance, Accounting, Tax, Human Resources, and Operations into final analysis and deal evaluation.
  • Financial Projections and Valuation: Manage the development of financial projections for select acquisition targets, performing discounted cash flow analysis and other valuation/returns analysis, including comparable company and precedent transaction analysis, accretion/dilution analysis, and return on invested capital.
  • Evaluation Criteria Development: Develop criteria to analyze the costs and synergies of potential acquisition opportunities.
  • Presentation Preparation: Assist in preparing presentations to support the approval of acquisitions by the UL Solutions executive leadership team and the Board of Directors.
  • Code of Conduct Compliance: Adhere to the UL Solutions Code of Conduct and follow all physical and digital security practices.
  • Additional Duties: Perform other duties as directed.


QUALIFICATIONS

  • Education: Bachelor's degree in Finance, Accounting, Economics, or Business Administration.
  • Experience: 6-8 years of professional experience in corporate development, investment banking, private equity, or a mergers and acquisitions role within a corporate setting.
  • Advanced Credentials: Advanced degree and/or CPA preferred.
  • Global Experience: Experience in M&A across Europe and Asia is advantageous.
  • Skills:
    • Strong business development skills with a background in M&A deal sourcing.
    • Proficiency in interpreting financial statements and analyzing historical performance for potential M&A opportunities.
    • Capability to independently develop financial projections for Income Statements, Balance Sheets, and Cash Flow Statements.
    • Competence in analyzing and interpreting diverse materials, including financial reports, technical reports, and legal documents.
