CoinFlip is seeking a dynamic and versatile Corporate Counsel to join our fast-paced and growing legal team of 8 attorneys and legal operations team members. This position reports to an Assistant General Counsel and will collaborate with other in-house attorneys, the General Counsel, the Chief Legal and Compliance Officer, compliance professionals, and external counsel. This role will have regular visibility to cross-functional teams. This is a unique opportunity for a motivated legal generalist to deepen their expertise across a wide range of legal domains in the rapidly evolving cryptocurrency and fintech space.  

The ideal candidate will have strong foundational legal experience and a desire to grow into a strategic advisor within a high-growth organization. This role will support senior attorneys across a variety of matters, with a focus (based on experience and interest) on commercial contracting, state money transmitter licensing and exams, marketing compliance, regulatory counseling, subpoena response, employment law, international expansion, and more.  You will be part of a lean, collaborative legal team that partners closely with operations, compliance, and product teams to enable innovation while protecting the business. Responsibilities:

Legal and Regulatory  

  • Advise internal stakeholders on a wide array of legal, compliance, and regulatory issues, including matters affecting international affiliates. 

  • Assist with state and federal licensing efforts, particularly money transmitter licenses (MTLs), including regulatory filings, renewal applications, and examination responses. 

  • Review and respond to law enforcement subpoenas, coordinating with compliance and business teams to ensure timely and accurate production of records. 

  • Support Regulatory Counsel on interpreting and applying state-specific crypto kiosk regulations. 

  • Draft responses to consumer complaints and coordinate with relevant departments to ensure consistency and regulatory compliance. 

  • Conduct legal research and draft internal memos on issues related to advertising, licensing, employment, and compliance. 

  • Provide guidance on data privacy and data security matters and support the implementation and maintenance of related policies and procedures. 

Commercial, Corporate and Operational Support  

  • Draft, review, and negotiate a broad range of commercial contracts, including NDAs, independent contractor agreements, vendor agreements, real estate lease agreements for kiosk placements, and employment-related documents. 

  • Support the Sales team in negotiating terms with store owners for kiosk placement and work closely with the Host Success team to manage and resolve disputes, including enforcement of contract terms such as non-compete clauses. 

  • Assist with general corporate matters such as entity governance, Board materials, and written consents. 

  • Provide legal support for corporate development initiatives including partnerships, financings, and M&A activity. 

Risk Management 

  • Review and approve marketing, advertising, and promotional materials to ensure compliance with applicable legal standards and internal guidelines. 

  • Support internal investigations, manage external counsel on litigation or dispute matters, and assist in developing risk mitigation strategies. 

  • Advise Human Resources on employment law matters, including policy development, hiring practices, employee relations, and compliance with state and federal labor laws. 

  • Other duties as assigned.

Requirements:

  • 4-6 years of legal experience (law firm and/or in-house)

  • Bar membership in good standing in Illinois (or eligible to be a Registered-In-House Counsel in Illinois)

  • Degree from an ABA accredited law school

  • Strong attention to detail

  • Proven ability to manage multiple workstreams and priorities with a high degree of independence

  • Comfortable working in a fast-paced, evolving environment and wearing multiple hats

  • Experience in contract review and negotiation  

Preferred:

  • General understanding of and interest in cryptocurrency

  • Experience and knowledge of regulations for cryptocurrency and fintech companies (experience with state money transmitter licenses a plus)

  • Knowledge and experience with general corporate matters

  • Experience in the responsibility areas listed above

  • Located in Chicago Metro Area

  • Experience at a crypto company, bank, money service business, fintech company or other financial institution

  • Experience with AML, fraud and compliance

  • Experience using contract lifecycle management tools (e.g., DocuSign CLM)

Learning and Development:

  • Company-paid CLEs, annual conference, certifications and membership in relevant professional organizations like DeputyGC (a tech company attorney professional group)

  • Mentorship from senior attorneys with crypto, regulatory, and corporate experience 

Base Salary Range: $120,000 - $160,000 USD
